Between the Cleaning Business and The Customer hereinafter jointly referred to as the “Parties” or individually as a “Party”.
Helpposiivous is a cleaning services concept of Lassila & Tikanoja (business ID: 1680140-0). Helpposiivous does not produce cleaning services, but instead funnels customers from the Helpposiivous.fi –webpage to varaus.helpposiivous.fi –webpage. The latter is maintained by a partnering company, Moppicom Oy and can be used but the customer to order cleaning services. Moppicom Oy mediates the production of all cleaning services according to descriptions below.
Moppicom Oy with the Finnish company registration number 2689633-5 (”Moppi”) operates an online platform www.varaus.helpposiivous.fi through which Customers can book and manage cleaning services from the cleaning businesses.
The Cleaning Business is an independent service provider which is registered with Moppi to provide the cleaning service.
Moppi does not offer or perform the Cleaning Service itself but operates the platforms Varaus.helpposiivous.fi (both online and mobile) via which this contract between the Cleaning Business and the Customer has been concluded. As n facilitator Moppi can receive and confirm Customer requests for cleaning services, issue invoices on behalf of and pass on payments to the Cleaning Business. However, Moppi accepts no liability to either Party for the performance of the Cleaning Services.
Through the Platform, the Customer has requested and the Cleaning Business has agreed to provide the cleaning services in accordance with the terms and conditions in this Agreement.
The Parties hereby agree on the following:
In the interpretation of this Agreement the following words shall have the following meanings unless a contrary meaning is indicated.
”Agreement”- means this agreement together with any schedules, annexes and order forms hereto, which may be amended from time to time, as agreed by the Parties;
”Booked Services” – means the Cleaning Services to be undertaken by the Cleaning Business as defined in the Order Form;
”Booked Service Duration” – means the amount of hours that the Customer has booked the services of the Cleaning Business as identified in the Order Form;
”Booked Service Location” – means the address where the Booked Services are to be carried out as described in the Order Form;
”Booking” – means the reservation made through the Platform for the Cleaning Services to be carried out at the scheduled Time and Booked Service Location for the Booked Service Duration and according to the Order Form;
”Cleaning Business” – means the person or entity named as such in the Order Form;
”Cleaning Products and Equipment” – means the cleaning products and equipment required to effectively provide the Cleaning Service;
”Cleaning Services” – means the cleaning services to be provided to the Customer by the Cleaning Business in accordance with this Agreement;
”Customer” – means the person or entity named as such in the Order Form;
”Order Form” – The order for Cleaning Services made through the Platform describing the Booked Service which is incorporated into and forms an integral part of this Agreement;
”Payment Amount” – means the total amount payable by the Customer for the provision of Cleaning Services by the Cleaning Business as identified in the Order Form;
”Platform” – means any of varaus.helpposiivous.fi and associated mobile device applications
”Service Fee” – means the fee (inclusive of any taxes, if applicable) for the Cleaning Services charged on an hourly basis, as advised by Helpposiivous and Moppi from time to time;
”User Agreement” – the Platform User Agreement available at www.helpposiivous.fi
2. Provision of services
2.1 The Customer has requested the provision of the Booked Services [in an Order Form] and the Cleaning Business has agreed to provide the Booked Services, all as set out in the Order Form.
3. Obligations of the Cleaning Business
3.1 In providing the Cleaning Service to the Customer the Cleaning Business shall:
(a) provide the Cleaning Service with reasonable care and skill;
(b) take all necessary steps to avoid any loss and/or damage to the Customer’s property;
(c) utilise the Booked Service Duration effectively and efficiently in providing the Cleaning Services; and
(d) deliver the Cleaning Service in accordance with the Order Form.
3.2 The Cleaning Services will be deemed to have been performed and accepted in accordance with this Agreement, if the Customer does not, as soon as practicable, but not later than 24 hours after the completion of the Cleaning Service, inform Helpposiivous or Moppi in a wrtte that the Cleaning Service was not performed to an acceptable standard.
3.3 The Cleaning Business shall provide all Cleaning Products and Equipment unless the Customer has chosen to supply the Cleaning Products and Equipment. If the Cleaning Products and Equipment provided by the Customer are inadequate for the performance of the Cleaning Services, neither the Cleaning Business nor Moppi shall be responsible for the non-performance of the Booked Services to the extent the non-performance of the Booked Services was due to inadequate Cleaning Products and Equipment provided by the Customer.
4. Obligations of the Customer
4.1 The Customer shall take all necessary measures to enable the Cleaning Business to efficiently perform the Cleaning Service in accordance with the Booking.
4.2 The Customer shall provide the Cleaning Products and Equipment if they have chosen to do so at the time of the Booking.
4.3 The Customer shall take all necessary measures to provide a safe workplace for the Cleaning Business.
4.4 The Customer acknowledges that if more than one person provides the Cleaning Services under the Booking, the Booked Service Duration will be divided by the number of persons providing the Cleaning Services.
4.5 The Customer shall notify Moppi within 24 hours after the end of the Scheduled Service Duration to raise any complaint about the quality of the Cleaning Services.
4.6 The Customer shall notify Moppi of any damage caused by the Cleaning Business to the Customer’s property as soon as practicable, but not later than 7 (seven) days after the completion of the Cleaning Services.
5.1 The Customer agrees that Moppi, on behalf of the Cleaning Business, will charge the Customer for the Cleaning Services as per the Customer’s chosen payment method in accordance with the User Agreement.
5.2 The payment terms are defined in the User Agreement and the Order Form.
6. Changes and cancellations
6.1 The Customer can cancel or amend a Booking through the Platform, free of charge, up to 24 hours before the Scheduled Time.
6.2 If the Customer cancels or amends a Booking within 24 hours before the Scheduled Time, the Customer will have to pay cancellation costs equivalent to one hour of the Service Fee.
6.3 The Booking cannot be amended or cancelled during the performance of the Cleaning Service.
6.4 The Customer acknowledges and agrees that if the Business is unable for any reason to perform the Cleaning Services, the Cleaning Services may be performed by another Cleaning Business appointed by the Cleaning Business and on the same terms as those set out in the Order Form.
7.1 Should the Customer be entitled to a refund as a result of a breach of this Agreement by the Cleaning Business, the refund will be limited to the amount of the Payment Amount actually paid.
8.1 A Party can immediately terminate this Agreement, if the other Party breaches any material term of this Agreement.
8.2 If the Booking is cancelled in accordance with clause 6.1, 6.2 or 6.4 above, this Agreement is simultaneously terminated.
8.3 This Agreement terminates immediately once both Parties have fulfilled their obligations under this Agreement .
9. Force Majeure
9.1 If, by reason of any event of Force Majeure which was outside the control of a Party resulting in the delay in, or prevention from, performing any of the provisions of this Agreement:
(a) then such delay of performance shall not be deemed to be a breach of this Agreement;
(b) no loss or damage shall be claimed by a Party from the other reason thereof; and
(c) the Parties shall use their best endeavours to minimise and reduce any period of suspension due to any event of Force Majeure.
9.2 An event of Force Majeure shall mean and include fire, flood, casualty, lock out, strike, labour condition or industrial action of any kind, , national calamity or riot, , the enactment of any act of Parliament or the act of any legally constituted authority, any cause or event arising out of or attributable to war or any other cause or event (whether similar or dissimilar nature), outside the control of the Parties.
10.1 Neither Party shall be entitled to assign and/or transfer their respective rights and/or obligations under this Agreement without the prior written consent of the other Party unless the Cleaning Business is unable to fulfil its obligations under this Agreement due to a force majeure event or as notified to the Customer by the Cleaning Business not later than 48 hours before the Booking in which case the Cleaning Business shall be entitled to transfer its rights and obligations (in whole but not in part) to an alternative cleaning business which shall thereafter be deemed to be the Cleaning Business under this Agreement.
11. General Provisions
11.1 This Agreement must not be amended but an instrument in writing signed by each of the Parties to this Agreement.
11.2 The Parties acknowledge that this Agreement constitutes the entire Agreement and understandings of and between the Parties and that there are no other representations, promises, warranties, covenants, undertakings, terms or conditions, whether oral or in writing, in relation to the subject matter of this Agreement of any force or effect unless contained in this Agreement.
11.3 All notices, demands and other communications between the Parties for the purpose of this Agreement shall be in writing and addressed to the Party’s address stipulated in this Agreement.
11.4 If a clause is void, illegal or unenforceable, it may be severed without affecting the enforceability of the other provisions in this Agreement.
11.5 This Agreement shall be deemed executed and binding on the Parties when the Customer accepts the terms and conditions set out herein by placing an Order Form on the Moppi.com platform.
11.6 No right under this Agreement is deemed to be waived except by notice in writing to that effect signed by each Party.
11.7 No waiver by any Party to this Agreement if a breach by any other party shall be construed as a waiver of any subsequent breach.
11.8 This Agreement shall be governed by the laws of Finland. The courts of Finland shall have the exclusive jurisdiction and venue to adjudicate any dispute arising out of this Agreement.
